XA Community Safety Patrol Program: Membership Terms and Conditions
Draft terms, published for transparency ahead of launch. These terms are under legal review and take effect at your Neighbourhood's launch. Founding members will be asked to confirm the final terms before any payment is collected.

The XA Community Safety Patrol Program is a neighbourhood patrol membership program operated by Backstage Support Services Ltd., operating as XA Security ("XA", "we", "us"). XA Security, xa.LIVE, and xa.PARKING are trade names of Backstage Support Services Ltd. XA is licensed under the Alberta Security Services and Investigators Act, Alberta Licence #B000344.
1. What these terms cover
These terms govern your household's membership in the XA Community Safety Patrol Program (the "Program"). The Program operates neighbourhood by neighbourhood: each participating neighbourhood is a "Neighbourhood" with its own local chapter (for example, the Upper Mount Royal Night Watch), and "your Neighbourhood" means the one your property is in. The patrol and related services delivered in your Neighbourhood are the "Service".
Your Neighbourhood Page. Each Neighbourhood has a membership page (its "Neighbourhood Page") that publishes the local particulars: the founding threshold, the founding and standard rates for each tier, the rate-lock date, the Concierge cap, the patrol hours at launch, and the target launch date. Those published values form part of these terms for your membership. Where these terms refer to a published value, they mean the value on your Neighbourhood Page at the time you signed up, as updated under Sections 4, 6, and 12.
By signing up on your Neighbourhood Page, you agree to these terms on behalf of your household. "Member" means the person who signed up; "your property" means the single residential address you gave us at signup. The Service is staffed by XA's licensed personnel in the position of Community Safety Guard; "guard" in these terms means that person.
The Service is a private security patrol membership. It is not an alarm monitoring contract, an insurance product, or a policing service.
2. What the Service is, and what it is not
This is not a substitute for 911. In any emergency, call 911 first. The Service does not replace the police, EMS, or the fire department, and our guards are not peace officers. We observe, report, deter, and respond within the lawful scope of licensed private security in Alberta. Where our guards encounter an active crime, a fire, or a medical emergency, their first action is to call 911.
No guarantee of outcomes. We provide a professional deterrence and response effort. We do not and cannot guarantee that crime will not occur, that losses will be prevented, that intruders will be caught, or any other specific outcome. Statistics and comparisons on our marketing materials describe the neighbourhood and the design of the Service; they are not promises of results.
Targets, not guarantees. Every figure, timeline, and service level in these terms and in our materials is a target we work toward, not a guarantee: response times ("target under 5 minutes during patrol hours"), launch dates, patrol hours and expansion milestones, digest delivery times, and hotline answer times. Actual performance depends on where the patrol vehicle is, road and weather conditions, concurrent incidents, staffing, and technology. A missed target is not a breach of these terms.
3. Membership tiers and what is included
Porchlight
- A marked XA patrol vehicle in your Neighbourhood every night during patrol hours (launch hours as published on your Neighbourhood Page; see Section 6).
- Alarm and incident response during patrol hours.
- A 24/7 member hotline, answered by a person.
- A weekly digest showing GPS-timestamped patrol passes at your address.
- Trespass authorization on file (Section 8).
- 4 days of Vacation Watch per calendar year, plus 20% off additional Vacation Watch trips.
- A member lawn sign and access to the neighbourhood patrol channel.
Concierge
Everything in Porchlight, plus:
- Designation of XA as your alarm company's first call (you arrange this designation with your alarm provider; we supply the details they need).
- Priority dispatch: the guard breaks route for Concierge incidents.
- Interior checks of your home, subject to the lockbox and entry authorization in Section 9.
- A weekly on-foot perimeter walk of your property.
- 28 days of Vacation Watch per calendar year.
- A direct line to the guard, no queue.
Concierge cap. Concierge is capped per patrol route, at the number published on your Neighbourhood Page, so its promises stay physically deliverable regardless of how large the overall membership grows. When the cap is reached, new Concierge requests join a waitlist in signup order. Waitlisted households may hold a Porchlight membership in the meantime.
4. Founding cohort, launch, and payment at launch
Nothing is charged at signup. Signing up reserves your place in the founding cohort and records your tier. We do not collect payment details or charge anything when you sign up.
Launch threshold. Your Neighbourhood's patrol launches when its published founding threshold of households has signed on. When the threshold is reached, we will contact you to collect payment details, and your first monthly charge occurs at launch (target launch date as published on your Neighbourhood Page).
If the threshold is never reached, the Service does not launch in your Neighbourhood and nothing is ever charged. Since no money changes hands before launch, there is nothing to refund. We will notify you if the launch is cancelled and delete your signup information per Section 10.
Founding rates. The founding cohort means households that sign on before your Neighbourhood launches; for Concierge, founding rates apply only to its published number of founding seats, which may be fewer than the Concierge cap. Founding-cohort households pay the founding rates published on your Neighbourhood Page; households joining after launch, and Concierge seats that open after launch, pay the published standard rates. All rates are subject to 5% GST.
Rate lock. Founding rates are locked through the rate-lock date published on your Neighbourhood Page, provided your membership remains continuously active. If your membership lapses or is cancelled for any reason and you later rejoin, you rejoin at the then-current standard rate. After the rate-lock date, founding memberships move to the then-current standard rate with at least 7 days' written notice.
Pricing changes. Except for the founding rate lock above, we may change pricing at any time with at least 7 days' written notice. A price change takes effect at your next monthly billing date following the notice period; you may cancel before it takes effect and pay nothing beyond your current paid month.
5. Term, cancellation, and non-payment
Month to month. Membership is month to month. There is no fixed term and no long contract.
Cancelling. Either you or XA may end the membership with 30 days' written notice. Email dispatch@xasecurity.ca from the email address on your membership. Your membership and billing end at the close of the notice period; there are no cancellation fees.
Termination by XA. We may end or suspend a membership on shorter notice where the member has abused the hotline or guards, used the Service to harass any person, provided false information, or failed to pay. Where we end a membership mid-cycle other than for cause, we will refund the unused portion of that month.
Billing in advance. Membership fees are billed monthly, in advance. Each monthly charge pays for the month of service that follows it, starting with the first charge at launch.
Payment processing. Monthly fees are charged to your card on file through Helcim, our payment processor. We do not store your full card number on our systems.
Failed payments. If a charge fails, we will notify you and retry over the following 14 days. Service continues during that window. If payment has not cleared after 14 days, the membership is suspended; after 30 days it is cancelled, and the founding rate lock is forfeited. Reinstatement after cancellation is at the standard rate and, for Concierge, subject to the cap.
6. Patrol hours and the coverage ladder
At launch, the patrol operates the nightly hours published on your Neighbourhood Page. Coverage is designed to grow with membership: at higher membership levels the patrol expands toward 18 hours per day and then 24/7 coverage.
XA sets patrol hours. We reserve the right to set, expand, or reduce patrol hours based on membership levels and operational needs. Expansions take effect when announced; reductions take effect on at least 7 days' written notice to members. Patrol hours in effect at any time are published in the weekly digest and the member channel. Alarm and incident response applies during patrol hours; the member hotline is staffed 24/7 regardless of patrol hours, with answer times as targets per Section 2.
Minimum participation. The Service is collectively funded: it exists only because enough households pay for it together. Launch requires the founding threshold (Section 4), and continued operation requires membership to remain at or above the minimum level needed to sustain the patrol. If membership falls below that level, we may reduce patrol hours (with notice as above), and if the Service is no longer viable, we may suspend or wind down the Service on at least 30 days' written notice. If the Service is wound down, billing stops at the end of the notice period and any amount prepaid past that date is refunded. A reduction in hours or a wind-down under this section is not a breach of these terms.
Routes. Patrol routes are randomized by design. The Service is a shared neighbourhood patrol; it does not guarantee a fixed number of passes at any single address. Passes at your address are logged and reported in your digest; occasional GPS or telemetry gaps and digest delivery delays are not breaches of these terms.
7. Coverage interruptions, service credits, and force majeure
Interruptions. Patrol coverage can be interrupted: a vehicle out of service, extreme weather that makes patrol unsafe, road closures, staffing. Interruptions are an expected part of operating a physical service and are not breaches of these terms. No credit or refund applies to any interruption shorter than 24 consecutive hours of scheduled coverage. Where the Service is entirely unavailable in your Neighbourhood for more than 24 consecutive hours of scheduled coverage, we will apply a pro-rated service credit to a following month's invoice for the scheduled coverage lost beyond those first 24 hours. We will use reasonable efforts to notify members of material interruptions through the member channel. Service credits are the sole and exclusive remedy for coverage interruptions.
Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, states of emergency, civil disturbance, or government direction. Membership fees are suspended for any period in which force majeure prevents the Service from operating entirely for more than 7 consecutive days.
8. Trespass authorization
As part of your membership, you authorize XA and its licensed guards to act as your agent for the purposes of the Trespass to Premises Act (Alberta) and the Petty Trespass Act (Alberta) with respect to your property. This means our guards may direct unauthorized persons to leave your property and may take lawful steps available to an authorized agent of the occupier. This authorization covers the exterior of your property (yard, driveway, laneway frontage). It does not authorize entry into your home unless you have interior access (included with Concierge, or added to another tier) and have completed the interior access authorization in Section 9. You may withdraw the trespass authorization at any time in writing, though the exterior patrol and response features of the Service depend on it.
Your property and our guards. As occupier, you owe persons attending your property the duties set out in the Occupiers' Liability Act (Alberta), and nothing in these terms waives them. You will tell us in writing about hazards a guard attending your property should know about, including dogs and other animals, unsafe structures, and any recording devices in areas a guard may enter. XA may suspend attendance at a property that is unsafe for its guards until the hazard is addressed, without breach of these terms.
9. Interior access
Interior checks are included with Concierge and may be offered to other members as a paid add-on, at pricing published on your Neighbourhood Page or quoted to you. Whatever the tier, interior checks are available only to members who have completed a written Interior Access Authorization and provided a lockbox (or equivalent key arrangement) for their property.
- When we enter. Guards enter your home only in the circumstances your authorization specifies: typically a triggered alarm the guard cannot resolve from outside, visible signs of forced entry, or a check you have specifically requested (including Vacation Watch interior checks). You can narrow these conditions in your authorization at any time.
- How we enter. Entry uses your lockbox or key arrangement. Guards do not force entry. If forced entry appears necessary to protect life or property, the guard calls 911 and defers to emergency services.
- What we do inside. Guards conduct a visual check, secure the property, and leave. Every entry is logged with time in, time out, and the reason, and appears in your weekly digest. Guards do not open drawers, cabinets, safes, or personal effects.
- Your responsibilities. You confirm you have authority to grant access to the property, that you have told other occupants that XA may enter under this authorization, and that any alarm codes or access details you give us are current. Keep us updated if locks, codes, or occupants change. If there are areas of your home you do not want entered or documented, you must designate them in writing as privacy blackout zones under Section 10 before your first interior check.
- Keys and lockboxes. We hold lockbox codes and keys solely to perform the Service. Our liability for a lost or compromised key or code is limited to the reasonable cost of re-keying or re-coding the affected locks.
- Liability and indemnity for authorized entry. Where a guard enters under a valid authorization and acts within it, you agree that XA is not liable for claims arising from the fact of entry itself, and you will indemnify XA against claims brought by other occupants or third parties asserting that the entry you authorized was wrongful. This does not limit XA's responsibility for negligence or willful misconduct by our guards while inside (for example, damage they cause), which remains ours, subject to the liability cap in Section 11.
10. Privacy
The Service necessarily collects information: GPS patrol logs, incident reports, photographs and video taken during incident response and Vacation Watch checks, hotline records, and your membership details. We handle all of it in accordance with Alberta's Personal Information Protection Act (PIPA), the private-sector privacy law that governs Alberta organizations, and, where it applies, the federal Personal Information Protection and Electronic Documents Act (PIPEDA).
- What we collect and why. GPS pass data at member addresses (to produce your digest and verify service delivery), incident photos and video (to document what our guards found and did), and your contact and payment details (to run the membership).
- Weekly digests. Your digest reports passes and incidents at your own address only. Incident information about other properties is not shared with you, and yours is not shared with other members.
- Retention. Patrol GPS logs and digests are retained for 24 months. Incident records, photos, and video are retained for 24 months, or longer where required for an insurance claim, legal proceeding, or a lawful request from police. Membership records are retained for the life of the membership plus 24 months. If the Service never launches, signup information is deleted within 90 days of the cancellation notice.
- Disclosure. We do not sell member data. We disclose incident records to police on lawful request, to our insurer when a claim requires it, and to you for incidents at your own property.
- Documentation and privacy blackout zones. Performing the Service means documenting what our guards see: patrol passes, incident photos and video, and interior-check records for Concierge members. If there are areas of your property or home you do not want photographed, recorded, or described in reports (for example, specific rooms, safes, collections, or home offices), you must designate them in writing as privacy blackout zones, by email to dispatch@xasecurity.ca or in your Interior Access Authorization. Blackout designations take effect within 7 days of written receipt. Absent a written designation, you consent to documentation of anything a guard observes in the ordinary course of the Service, and you accept that guards may incidentally capture parts of your property, home, vehicles, or persons present while performing it. You are responsible for telling occupants and guests that the Service operates at your property. A blackout zone is excluded from documentation, which may limit what we can verify, report, or support in an insurance claim for that area; XA is not responsible for the consequences of a blackout designation. XA is not liable for documentation of any area you did not designate in writing.
- Your rights and our Privacy Officer. You may request access to or correction of your personal information, or raise a privacy concern, by contacting our Privacy Officer at [PRIVACY CONTACT]. We respond within the timelines PIPA requires.
11. Insurance, liability, and limits of liability
Our insurance. XA carries commercial general liability insurance of $5,000,000.
No liability for the criminal acts of others. The Service is a deterrence and response effort against crime committed by people we do not control. To the maximum extent permitted by law, XA is not liable for any loss, damage, or injury caused by the criminal or intentional act of any third party, including theft, break and enter, vandalism, mischief, arson, or assault, whether or not the patrol was on duty at the time, in the area, responding to another incident, delayed, or did not detect or prevent the act, and even where the loss is alleged to result in whole or in part from XA's failure to perform the Service, other than XA's willful misconduct or gross negligence. Your membership fee is priced for patrol and response effort; it is not an insurance premium and does not transfer the risk of crime losses to XA.
Assumption of risk and acknowledgement. You acknowledge that crime can occur despite a professional patrol, that the Service cannot watch every property at every moment, and that you remain responsible for securing your own property: locks, lighting, alarm systems, and safe storage of valuables. XA is not liable for losses attributable to your failure to take reasonable security precautions.
Your insurance is the remedy for crime losses. The Service is not property insurance and does not replace your home insurance. You agree to maintain your own property insurance and to look to it as your sole source of recovery for loss of or damage to property, including losses involving theft or vandalism.
Waiver of subrogation. To the maximum extent permitted by law, you release XA from, and waive on behalf of your property insurer any right of subrogation for, any claim for loss or damage to the extent that loss is insured or insurable under a standard homeowner policy. You agree to notify your insurer of this waiver if your policy requires it.
No custody of your property. XA does not take custody, care, or control of your home, contents, vehicles, or valuables. Nothing in these terms creates a bailment.
Liability cap. To the extent any liability survives the exclusions above, XA's total aggregate liability for all claims arising out of the Service in any 12-month period is limited to the membership fees you paid in the 12 months before the first event giving rise to the claim. XA is not liable for indirect, consequential, punitive, or exemplary damages, or for loss of use, income, or opportunity. If a court finds the exclusions or this cap unenforceable in whole or in part, XA's liability is instead limited to the greater of three months of your membership fees or $500, as liquidated damages and not as a penalty, reflecting the parties' agreed allocation of risk and pricing. Nothing in these terms limits liability that cannot be limited under Alberta law.
Claims. You must give XA written notice of any claim within 30 days of the event giving rise to it, with enough detail for us to investigate while records and video are retained. To the extent permitted by the Limitations Act (Alberta), no proceeding arising out of the Service may be brought more than 12 months after the event. To the maximum extent permitted by law, claims must be brought individually and not as part of a class or representative proceeding.
12. Changes to these terms
We may update these terms at any time with at least 7 days' written notice to members (email plus the member channel). If a change materially reduces the Service, you may cancel within the notice period effective immediately, and we will refund any prepaid amount for the period after cancellation. Continued membership after the notice period is acceptance of the updated terms. Pricing changes are governed by Section 4, not this section.
13. General
Entire agreement. These terms, your signup record, and any signed Interior Access Authorization are the entire agreement between us. Marketing materials, the membership page, statistics, comparisons, social posts, and statements by staff describe the Service; they are not terms of the contract and create no warranties or obligations beyond what is written here.
Severability. If any part of these terms is found unenforceable, that part is severed to the minimum extent necessary and the rest remains in full force. Where a limitation or exclusion is found too broad, it applies to the maximum extent a court will permit rather than failing entirely.
No waiver. If we do not enforce a term on one occasion, we may still enforce it later.
Assignment. You may not assign your membership; it attaches to your household and property. XA may assign these terms to an affiliate or successor that continues the Service.
Survival. Sections 8 through 11 and this Section 13 survive cancellation or termination of a membership.
14. Governing law and disputes
These terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply in Alberta. Any dispute that cannot be resolved between us will be brought in the Court of King's Bench of Alberta or the Alberta Court of Justice, as appropriate, sitting in Calgary. Talk to us first: most issues are resolved through the hotline or a call with our team.
